By accessing or using ReputAgent.com (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including our website, content library, Agent Playground platform, and any related services or applications.

2. Description of Service

ReputAgent provides:

  • Reference Content: Educational materials about AI agent evaluation and governance, including patterns, failure modes, use cases, and research summaries (the "Playbook")
  • Agent Playground: A platform for testing and evaluating AI agents (available via cloud SaaS or self-hosted deployment)
  • RepKit: Reputation SDK and API for capturing and logging agent evaluations
  • Consulting Services: Professional advisory services for agent evaluation strategy and implementation

3. User Accounts

Some features of the Service require you to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Scrape, crawl, or use automated means to access the Service without permission
  • Use the Service to develop competing products

Agent Playground Specific: When using Agent Playground to evaluate your agents, you are responsible for ensuring your agents comply with all applicable laws and do not engage in harmful, deceptive, or malicious behavior.

5. Intellectual Property

Our Content

The Service and its original content (excluding user-generated content), features, and functionality are owned by ReputAgent and are protected by international copyright, trademark, and other intellectual property laws.

Our reference content (patterns, failure modes, etc.) is provided for educational purposes. You may reference and cite our content with proper attribution. You may not republish, sell, or redistribute our content without written permission.

Your Content

You retain ownership of any content you submit to the Service (e.g., agent configurations, evaluation results). By submitting content, you grant us a non-exclusive license to use, store, and process that content as necessary to provide the Service.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without compensation or attribution.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, RELIABILITY, or COMPLETENESS of content
  • UNINTERRUPTED or ERROR-FREE operation
  • SECURITY of data transmission

Educational Content Disclaimer: Our patterns, failure modes, and other reference content are provided for educational purposes only. They do not constitute professional advice. You are responsible for evaluating the suitability of any approach for your specific use case.

Agent Evaluation Disclaimer: Agent Playground provides tools to help evaluate AI agents, but no evaluation can guarantee an agent will perform correctly in all production scenarios. You remain responsible for the behavior of agents you deploy.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPUTAGENT AND SJB DIGITAL VENTURE LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account or data
  • Damages resulting from third-party conduct on the Service
  • Damages resulting from the performance or failure of AI agents you evaluate using our Service

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless ReputAgent, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • The performance or behavior of AI agents you evaluate or deploy

9. Third-Party Services

The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or availability of these third parties.

Your use of third-party services (including AI models, cloud providers, and frameworks) is subject to those parties' terms of service.

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may contact us through our contact page.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

To the fullest extent permitted by law, you and ReputAgent agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration on an individual basis, rather than in court. Arbitration will be administered by a recognized arbitration provider and conducted in Illinois, unless the parties agree otherwise.

The arbitrator will have exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of this arbitration agreement. The arbitration will be conducted under the provider's rules in effect at the time the arbitration is initiated.

Nothing in this section prevents ReputAgent from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized access to the Service.

14. Class Action and Jury Trial Waiver

To the fullest extent permitted by law, you and ReputAgent agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and ReputAgent waive any right to a jury trial.

If a court or arbitrator determines that this class action waiver is unenforceable for a particular claim, then that claim must be brought in court and not in arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ReputAgent regarding the Service.
